1. Introduction

Any work product, designs, code, or materials developed by Overscale Consulting during the course of our services remain the property of Overscale Consulting until full payment is received. Upon full payment, ownership rights will be transferred to the client, unless otherwise specified in a separate agreement.

5. Payment Terms

Clients agree to pay for services rendered in accordance with the payment schedule outlined in their specific service agreement. Late payments may incur interest charges as specified in the agreement.

6. Termination

Either party may terminate the engagement with 30 days' written notice. In the event of termination, the client agrees to pay for all services rendered and expenses incurred up to the termination date.

7. Limitation of Liability

Overscale Consulting shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with our services. Our total liability is limited to the amount paid by the client for the specific service in question.

8. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles.

9. Changes to Terms

We reserve the right to modify these terms and conditions at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of the revised terms.

Nightly backups with 30-day retention stored in a separate encrypted environment. Disaster recovery plans in place to ensure platform uptime and data continuity.




4. Incident Response Plan


Overscale Consulting maintains a detailed and documented

Incident Response Plan (IRP)

including:


Identification Detection through intrusion detection systems, system logs, and employee reporting. Containment Immediate isolation of affected systems to prevent further spread. Eradication Removal of malicious code, unauthorized users, or compromised credentials. Recovery Restoration of data from secure backups and validation of system integrity. Post-Incident Review Root cause analysis, affected user notification (within 72 hours per applicable law), and security improvement roadmap.
